New Business Registration

As of 01 May 2011 the new Companies Act was implemented and it has brought several changes including the discontinuation of Close Corporations.

The New Companies Act allows for two broad categories of companies to be included under the Act,  a profit company or a non-profit company.

Non-profit companies: A non-profit company is for a public benefit purpose and the income and property may not be distributable to its incorporators. A non-profit company may be regarded as a successor to the previously known Section 21 companies in the 1972 Act.

Profit companies: A profit company is a company incorporated for the purpose of making financial gain for its shareholders. Here are four sub-categories: 

  •  State-owned Companies, such as ESKOM or SAA.  The names of these companies must be followed by the suffix SOC to demonstrate that they are state-owned, for example ESKOM SOC Ltd. It can be either wholly or partially owned by a government and is typically earmarked to participate in commercial activities.

  • Personal Liability Companies, The personal liability company is regarded as a successor to the section 53(b) company of the 1973 Act. This is a company which meets the criteria, stated already, for a private company; and whose Memorandum of Incorporation states that it is a personal liability company. The directors, both past and present, are jointly and severally liable for the contractual debts and liabilities of the personal liability company. The liability of a director is limited, however, to the company's contractual debts and liabilities, and therefore does not include delictual or statutory liability. The name of a personal liability company ends with the designation, "Incorporated" or "Inc.".

  • Private Companies (Proprietary Limited), which are companies that are not state-owned and the Memorandum of Incorporation prohibits them from offering their securities to the public and also restricts the transferability of its securities.  A private company must have at least one member.  A private company will be denoted by the suffix (Pty) Ltd at the end of its name.

Public Companies (Limited), are "all the others".  In other words, if a company is not state-owned, a personal liability company, or a private company, then it is a public company. A public company is incorporated by one or more persons associated for a lawful purpose.

N.B. A Propriety Limited/(PTY) LTD company is recommended for all business types other than those providing professional services such as legal or accounting or medical practices
